1. Agreement to Terms

By accessing or using the services provided by Mguard.ai ("Mguard", "we", "us", or "our"), you ("Customer" or "you") agree to be bound by these Terms of Service. If you are accepting on behalf of a legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

Mguard.ai provides an artificial intelligence-driven platform designed to analyze mortgage commitments and related financial documents to identify potential structural risks (e.g., IRD penalties, Bona Fide Sale clauses). Our services are tools for information and educational purposes only.

During our beta period, some or all features may be provided free of charge, and beta features and their conditions may change or be withdrawn at any time.

3. AI-Generated Content & Professional Advice Disclaimer(Key Protective Provisions)

NOT FINANCIAL ADVICE:

Mguard.ai is a software tool, not a licensed mortgage brokerage, law firm, or financial advisory. Outputs do not constitute financial, legal, or mortgage advice.

NO GUARANTEE OF ACCURACY:

Due to the nature of artificial intelligence, outputs may contain errors, misstatements, or inaccuracies. Mguard does not guarantee the 100% accuracy of any clause analysis or risk score.

USER RESPONSIBILITY:

You are solely responsible for verifying any AI-generated outputs with a licensed mortgage professional or legal counsel before making any financial decisions or communicating with lenders.

4. Use Restrictions

You shall not:

  • Reverse engineer, decompile, or attempt to discover the source code of the Mguard.ai platform.
  • Use the Services to build a competitive product or service.
  • Upload documents for which you do not have legal right or consent.

5. Proprietary Rights and Licenses

Mguard Property:

We retain all rights, title, and interest in the platform, algorithms, and branding.

Customer Data:

You retain ownership of any data you upload. By uploading, you grant us a limited license to process this data solely to provide the analysis.

Output Ownership:

Subject to full payment of fees, Mguard assigns to you the rights to the specific AI-generated reports created for your account.

6. Payment and Refunds

Fees are charged per report through credits purchased in advance; we do not offer subscription plans. Two tiers are available: Basic ($19 CAD per credit), which includes the clause audit and the Exit Simulator; and Pro ($29 CAD), which includes three credits and everything in Basic plus Comparison (multi-offer ranking). Credits never expire.

Because each analysis is delivered immediately and in full, fees are non-refundable once your analysis results have been displayed to you. If an analysis fails or is not completed, the fee for that analysis will be refunded in full.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MGUARD.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSSES OR INCORRECT MORTGAGE DECISIONS ARISING FROM THE USE OF OUR AI OUTPUTS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE PRECEDING 12 MONTHS.

8. Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any disputes shall be settled in the courts of Toronto, Ontario.

9. Changes to Terms

We may update these Terms from time to time. When we make changes, we will post the updated Terms on this page and revise the "Last updated" date above. Changes take effect when posted, unless a later effective date is stated in the notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

10. Termination

We may suspend or terminate your access to the Services if you violate these Terms or use the Services unlawfully. You may stop using the Services at any time. Sections that by their nature should survive termination, including Sections 3, 5, 7, and 11, will survive any termination.

11. Indemnification

You agree to indemnify and hold harmless Mguard.ai and its operators from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Services, or your upload of documents that infringe the rights of any third party or that you did not have the legal right or consent to provide.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
